Version dated 15 September 2026 · The German version is legally binding.
1.1 These GTC apply to contracts that do not constitute consumer transactions for the customer within the meaning of Section 1 of the Austrian Consumer Protection Act (KSchG).
1.2 The contracting party is exclusively the company named in the offer or order: ICSL GmbH, company register no. FN 412283z, or ICSL Consulting for Information-Technology and Telecommunications GmbH, company register no. FN 201591h, each at Khunngasse 14, 1030 Vienna, Austria, hereinafter “ICSL”.
1.3 They cover all deliveries and services, in particular goods, devices, mobile phones and accessories, software, licences and other digital goods, secure communications solutions as a service, hosted, cloud or on premise, telecommunications, IT services, planning, integration, installation, operation, maintenance, support, training as well as consulting and project services. The GTC also apply to individually commissioned deliveries or services.
1.4 Individual agreements take precedence over these GTC. Deviating terms and conditions of the customer apply only with the express consent of ICSL.
2.1 Offers are non-binding. ICSL is not obliged to accept orders and may decline them without giving reasons. The contract is concluded upon order confirmation or performance by ICSL. Service catalogues are non-binding overviews. The scope of services, prices and specific commitments follow from the agreed offer. E-mail is sufficient for agreements.
2.2 Services additionally commissioned by the customer are remunerated separately. Additional effort attributable to the customer is charged at the agreed rates, otherwise at a reasonable rate.
2.3 For consulting services, a specific economic result is owed only if expressly agreed. ICSL may engage suitable subcontractors.
2.4 The provision of updates includes their installation and the adaptation of the customer environment only to the extent agreed.
3.1 Unless another currency is agreed, prices are in euros plus VAT where applicable. Shipping, packaging and agreed ancillary services are charged separately unless included in the price.
3.2 Unless otherwise agreed, for one-off orders half of the order value is payable as a down payment upon conclusion of the contract and the remainder upon delivery or performance. Recurring services are invoiced annually in advance. Unless otherwise agreed, invoices are due immediately upon receipt without deduction.
3.3 For third-party services invoiced separately on the basis of actual costs, the surcharges specified in the agreed service description or the agreed offer apply.
3.4 ICSL may adjust recurring fees at the start of a new contract year in line with changed personnel, procurement and operating costs. Price increases are announced at least four months in advance. Fixed-price commitments remain unaffected; index adjustments require a separate agreement.
3.5 In the event of default in payment, ICSL may suspend the affected service after an unsuccessful reminder with a grace period of at least 14 days and prior notice of the suspension.
3.6 Set-off is limited to counterclaims that are acknowledged, established by final judgment or arise from the same contractual relationship.
4.1 Dates are binding only if expressly agreed. Reasonable partial deliveries are permitted.
4.2 Where shipping is agreed, risk passes to the customer upon handover to the carrier. Transport insurance is taken out only on separate instruction and at the expense of the customer.
4.3 Goods sold remain the property of ICSL until the purchase price and associated ancillary costs have been paid in full. Until then, pledging and transfer by way of security are not permitted. Resale requires a separate agreement.
5.1 The customer receives the agreed rights of use in software, documentation and work results, otherwise a non-exclusive right of use for the purpose of the contract. Permanently acquired rights of use pass upon full payment; rights of use in subscriptions exist for their term. All further rights remain with ICSL or the respective rights holders.
5.2 For third-party software, the licence terms provided and agreed before conclusion of the contract apply in addition.
5.3 Ordered licences and usage entitlements, in particular aaS access and accounts, are invoiced on the agreed dates irrespective of their actual use.
6.1 For defects in movable goods and completed contract work, the warranty period is twelve months from handover or acceptance. Services provided on an ongoing basis are excluded from this. The presumption under Section 924 of the Austrian Civil Code (ABGB) is excluded.
6.2 For one-off provision of software and for the sale of goods with digital elements, the statutory update obligation is excluded. Agreed updates as well as maintenance and ongoing provisioning services remain unaffected.
7.1 ICSL is not liable for damage caused by slight negligence, except in the event of a breach of essential contractual obligations. In that case, liability is limited to the typical contractual damage foreseeable at the time the contract was concluded.
7.2 Claims for damages based on slight negligence become time-barred twelve months after knowledge of the damage and of the party liable.
7.3 The limitations under 7.1 and 7.2 do not apply to personal injury, claims under the Austrian Product Liability Act or other mandatory liability.
7.4 The liability provisions of this section also apply in favour of the employees and vicarious agents of ICSL.
8.1 Term and termination conditions are generally governed by the agreed offer.
8.2 Unless otherwise agreed, recurring services have an indefinite term with a minimum term of 24 months. The notice period is 90 days to the end of the minimum term and thereafter to the end of each further contract year.
8.3 Notice of termination may be given by e-mail.
8.4 In the event of a specific security threat or improper use, ICSL may temporarily restrict the affected services to the extent and for as long as necessary to avert it.
9.1 Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. To the extent permitted, the court with subject-matter jurisdiction in Vienna is agreed as the place of jurisdiction. ICSL may also bring action against the customer at the customer’s general place of jurisdiction.
